By using the Website, or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use, our Privacy Policy, and our Disclaimer, each incorporated herein by reference. You will be required to affirmatively accept these Terms of Use when you make a purchase or register for a program or event through the Website. If you do not want to agree to these Terms of Use including the agreements incorporated by reference herein, you must not access or use the Website.

The Website is offered and available to users who are 18 years of age or older and who are located in the United States. By using the Website, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website.

Changes To the Terms Of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Website thereafter. We will indicate the date of the latest revision by updating the effective date on this page. Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you. Changes to these Terms of Use do not alter the terms of any written agreement you have separately signed with the Company for a specific program or engagement, which will govern in the event of a conflict.

Privacy

Your use of the Website is also subject to the Company’s Privacy Policy and Cookie Policy. Please review them, which also govern the Website and inform users of our data collection practices. Your agreement to the Privacy Policy is hereby incorporated into these Terms of Use.

Your use of the Website and any Offerings is also subject to the Company’s Disclaimer. Please review it. The Disclaimer addresses important limitations on the nature of the information and services provided through the Website, including that they are not medical, mental health, legal, or financial advice. Your agreement to the Disclaimer is hereby incorporated into these Terms of Use.

We reserve the right to withdraw or amend the Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information, including your name and email address. It is a condition of your use of the Website that all the information you provide is correct, current, and complete. You agree to notify us immediately of any unauthorized access to or use of your information. We have the right to disable any user name, password, or other identifier at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

You are granted a non-exclusive, non-transferable, revocable license to access and use the Website strictly in accordance with these Terms of Use.

As a condition of your use of the Website, you warrant to the Company that you will not use the Website for any purpose that is unlawful or prohibited by these Terms of Use. You may not use the Website in any manner that could damage, disable, overburden, or impair the Website or interfere with any other party’s use and enjoyment of it. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Website.

All content included as part of the Website, such as text, graphics, logos, images, audio, video, and the compilation thereof, and any software used on the Website, is the property of the Company or its suppliers and is protected by copyright and other laws that protect intellectual property and proprietary rights. This includes the Company’s proprietary frameworks, methods, and materials, including the Five Facets of Being, the Five Facets of Business, the Somaxis Operating System, the S.O.M.A. method, the Spaceholder Archetype quiz and its guides, and all related names, descriptions, and content.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works from, or in any way exploit any of the content, in whole or in part, found on the Website or in any Offering.

The Company content is not for resale. Your use of the Website or any of the resources available on it does not entitle you to make any unauthorized use of any protected content, and you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use, or in the case of business coaching materials, solely within your own business, and will make no other use of the content without the express written permission of the Company. You agree that you do not acquire any ownership rights in any protected content.

The Company name, the Company logo, the Inhabit Yourself and Somaxis names and marks, the Company slogans, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company.

Our Offerings

Through the Website, the Company offers coaching, advisory, facilitation, and educational services and materials, which may include one-on-one coaching sessions and clarity calls, multi-session intensives and immersions, group programs and cohorts, extended rites of passage containers, breathwork sessions, workshops, retreats, in-person events, speaking engagements, and downloadable digital products such as guides and journals (collectively, “Offerings”). All Offerings are subject to availability, and the Company reserves the right to modify or discontinue any Offering at any time.

Prices for Offerings are subject to change without notice. The Company shall not be liable to you or any third party for any price change. You agree to pay all charges incurred in connection with your purchase, including any applicable taxes, at the prices in effect at the time of purchase. Payments are processed by our checkout provider and the payment processor connected to it, and your use of those providers is subject to their own terms and privacy policies.

Where the Company offers the option to pay for an Offering in installments, you agree to pay each installment when due. You remain responsible for the full purchase price regardless of whether you complete or attend the Offering. The Company may suspend access to an Offering if an installment is not paid when due, and may recover any unpaid amounts together with reasonable costs of collection.

Digital Products

Digital products purchased through the Website are licensed, not sold. Upon purchase, you are granted a limited, non-exclusive, non-transferable, revocable license to download and use the digital product for your own personal use, or in the case of business materials, within your own business. You may not share, distribute, resell, sublicense, publish, or make the digital product available to any other person, and you may not create derivative works from it or use it to deliver services to third parties, in each case without the express written permission of the Company.

Scheduling, Rescheduling, Cancellation, And No-Shows

Sessions are scheduled through the booking tools made available on the Website or by arrangement with the Company. Appointment times are reserved for you, and the Company commits capacity and preparation to each scheduled session.

If you need to reschedule a session, you must provide at least 48 hours’ notice. Within that period, sessions may be rescheduled once at no charge, subject to availability. A request to reschedule made with less than 48 hours’ notice, or a failure to attend a scheduled session, will result in the session being treated as delivered and the fee for that session being forfeited, except where the Company agrees otherwise in its sole discretion.

If you arrive late to a session, the session will still end at its scheduled time, and the Company is not obligated to extend it or to provide a credit for the time missed. If the Company must reschedule a session, you will be offered the next available time or, at your option, a credit toward a future session.

Sessions purchased as part of a package or program must be used within six months of purchase unless otherwise stated in writing, after which unused sessions expire without refund. Multi-session programs and containers follow the schedule and cancellation terms set out in the written agreement for that program, which governs in the event of a conflict with this section.

In-Person Sessions, Workshops, And Events

The Company offers breathwork sessions, workshops, retreats, and other gatherings held in person. By registering for or attending any in-person Offering, you acknowledge and agree to the following.

Participation is voluntary, and you may stop, modify, or step out of any practice at any time. You are responsible for your own wellbeing during the Offering and for determining, in consultation with your own healthcare provider, whether participation is appropriate for you. Breathwork and somatic practices may produce physical and emotional responses, and you voluntarily assume the risks described in our Disclaimer, which you should read in full before attending.

You agree to follow the reasonable instructions of the facilitator and any rules of the venue, and to treat other participants with respect. The Company may decline or end your participation in any in-person Offering, without refund, if your conduct is unsafe, disruptive, or harmful to others.

The Company is not responsible for personal property that is lost, damaged, or stolen at an event, or for travel, lodging, or other costs you incur in connection with attending. If the Company must cancel or reschedule an in-person Offering, you will be offered a transfer to a future date or a refund of the fee paid for that Offering, and the Company will not be responsible for any other costs you have incurred.

Sessions and events are sometimes photographed or recorded for the Company’s educational and promotional use. Where that is planned, the Company will tell you in advance and give you a way to decline being included.

Group Programs And Confidentiality

Certain Offerings are delivered in a group setting. If you participate in a group Offering, you agree to keep confidential the personal information and experiences shared by other participants, and not to record, publish, or disclose them outside the group without the express permission of the person concerned. The Company asks the same of every participant but cannot guarantee the conduct of others, and you acknowledge that the Company is not responsible for any disclosure made by another participant.

Coaching is not a licensed mental health service and is not confidential in the way that a legally privileged relationship is. The Company will treat what you share with professional discretion, and will disclose it only as described in our Privacy Policy or where required by law.

Refunds

Except as required by applicable law or as expressly provided in a written agreement signed by the Company for a specific program, all sales of Offerings are final and the Company does not offer money-back guarantees. Digital products are non-returnable and non-refundable once access has been delivered, because they cannot be returned. Fees for sessions forfeited under the Scheduling, Rescheduling, Cancellation, And No-Shows section above are not refundable.

If the Company is unable to deliver an Offering you have paid for, the Company will either reschedule it with you or refund the fee paid for the undelivered portion.

For Educational And Informational Purposes Only

As set forth more fully in the Disclaimer, the information contained on the Website, the resources available for download through the Website, and the Offerings are for educational and informational purposes only. They are not intended as, and shall not be understood or construed as, medical, psychological, psychiatric, therapeutic, legal, accounting, tax, financial, or any other form of professional advice. The Company is not a licensed medical, mental health, or healthcare provider, and nothing on the Website or in any Offering creates a provider-patient relationship or any other licensed professional relationship.

Health And Wellness Disclaimer

As set forth more fully in the Disclaimer, the breathwork, somatic, and meditative practices offered on the Website and in the Offerings are not a substitute for professional medical or mental health advice, diagnosis, or treatment. You should consult a qualified healthcare provider before beginning any new wellness practice. You should not engage in breathwork practices if you are pregnant or have a history of seizures, cardiovascular conditions, respiratory conditions, or any other condition that may be affected by changes in breathing, without first consulting your healthcare provider.

If you experience any discomfort, dizziness, pain, or adverse symptoms during a practice, stop immediately and seek medical attention if needed. If you are experiencing a medical or mental health emergency, call 911 or your local emergency services immediately. If you are in crisis or experiencing suicidal thoughts, contact the 988 Suicide and Crisis Lifeline by calling or texting 988.

No Guarantees As To Results

As set forth more fully in the Disclaimer, you agree that the Company has not made any guarantees about the results of taking any action, whether recommended on the Website or not. The Company provides educational, coaching, and advisory resources that are intended to support users in their leadership, business, and wellbeing. You nevertheless recognize that your ultimate success or failure will be the result of your own efforts, your particular situation, and innumerable other circumstances beyond the control or knowledge of the Company. You also recognize that prior results do not guarantee a similar outcome, and that results obtained by others applying the principles set out on the Website are no guarantee that you will obtain similar results.

Accuracy And Personal Responsibility

We have done our best to ensure that the information provided on the Website and the resources available for download are accurate and provide valuable information, but we cannot represent that the Website is free of errors. You accept that the information contained on the Website may be erroneous and agree to conduct due diligence to verify any information obtained from the Website prior to taking any action. By using the Website, you accept personal responsibility for the results of your actions, and you agree to take full responsibility for any harm or damage you suffer as a result of the use, or non-use, of the information available on the Website or the resources available for download from it.

Email And Other Electronic Communications

Visiting the Website or sending emails to the Company constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

We would be pleased to communicate with you by email, and there are various places on the Website that provide the ability to send us an electronic message. Please be advised that email is not recognized as a secure medium of communication, and we request that you do not send us private information by email. Where you choose to do so, you accept the risk that it may be intercepted. Any message you send us may not be secure until it is delivered to us, and we will not be responsible for any damages you or any third party may suffer as a result of the transmission of a message you send us.

Materials You Provide To Us

The Company does not claim ownership of the materials you provide to us, including any information you submit through a form, intake, or quiz, or any materials you share in the course of an Offering (collectively, “Submissions”), other than as needed to provide the Offering to you and as described in our Privacy Policy. However, by providing a Submission you grant the Company a non-exclusive, royalty-free license to use it for the purpose of delivering the Offering and operating our business.

If you provide the Company with feedback, suggestions, ideas, or testimonials concerning the Website or any Offering (“Feedback”), you grant the Company a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, and publish that Feedback, including your first name and last initial, for any purpose, without compensation to you. The Company will not publish a testimonial in a way that identifies you by full name or image without your permission. No compensation will be paid with respect to the use of any Submission or Feedback.

By providing a Submission or Feedback, you warrant and represent that you own or otherwise control all of the rights to it, and that it is accurate, is not confidential to a third party, and does not violate these Terms of Use or any applicable law.

Links To Third Party Websites And Services

The Website may contain links to other websites (“Linked Websites”). The Linked Websites are not under the control of the Company, and the Company is not responsible for their contents, including any link contained in a Linked Website, or for any changes or updates to them. The Company is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by the Company of the Linked Website or any association with its operators.

Certain services made available through the Website are delivered by third-party websites and organizations, including our scheduling and form provider, our quiz provider, our payment processor, and embedded podcast players. By using any product, service, or functionality originating from the Website, you acknowledge and consent that the Company may share such information and data with any third party with whom the Company has a contractual relationship to provide the requested product, service, or functionality on behalf of users of the Website.

Inhabit Yourself

The Website may contain links to inhabityourself.com (the “Product Website”), which is owned and operated by Inhabit Yourself, LLC, a legal entity separate from the Company. Products offered through the Product Website, including card decks, journals, candles, and ritual kits, are not offered, sold, or provided by the Company. Any purchase of those products is a transaction solely between you and Inhabit Yourself, LLC and is governed exclusively by the terms, policies, and agreements posted on or provided through the Product Website. These Terms of Use do not govern your use of the Product Website or any products purchased through it. The Company is not a party to, and shall have no responsibility or liability for, any such purchase, including its fulfillment, payment, cancellation, refunds, delivery, or results.

No Warranties

THE COMPANY MAKES NO WARRANTIES REGARDING THE PERFORMANCE OR OPERATION OF THE WEBSITE. THE COMPANY FURTHER MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE INFORMATION, CONTENTS, MATERIALS, PRACTICES, PROGRAMS, PRODUCTS, OR SERVICES INCLUDED ON OR THROUGH THE WEBSITE. TO THE FULLEST EXTENT PERMISSIBLE UNDER THE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO ABSOLVE THE COMPANY OF ANY AND ALL LIABILITY OR LOSS THAT YOU OR ANY PERSON OR ENTITY ASSOCIATED WITH YOU MAY SUFFER OR INCUR AS A RESULT OF USE OF THE INFORMATION CONTAINED ON THE WEBSITE, THE RESOURCES YOU MAY DOWNLOAD FROM THE WEBSITE, AND/OR ANY OFFERINGS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT THE COMPANY WILL NOT BE LIABLE TO YOU FOR ANY TYPE OF DAMAGES, INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EQUITABLE, OR CONSEQUENTIAL LOSS OR DAMAGES FOR USE OF THE WEBSITE OR ANY OFFERINGS.

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE WEBSITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. THE COMPANY AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE WEBSITE AT ANY TIME.

THE COMPANY AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE WEBSITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. THE COMPANY AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE COMPANY AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE WEBSITE, WITH THE DELAY OR INABILITY TO USE THE WEBSITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE WEBSITE, OR OTHERWISE ARISING OUT OF THE USE OF THE WEBSITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF THE COMPANY OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF, NOTWITHSTANDING THE FOREGOING, THE COMPANY AND/OR ITS SUPPLIERS ARE FOUND LIABLE TO YOU FOR ANY DAMAGES, THEIR AGGREGATE LIABILITY WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE WEBSITE, OR WITH THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE WEBSITE.

Any claim or dispute arising out of or relating to the Website, the Company, these Terms of Use, any and all contracts you enter into with the Company, and any and all of the Company’s products and services shall be brought exclusively in the state courts located in Washtenaw County, Michigan, or the United States District Court for the Eastern District of Michigan, and you consent to the personal jurisdiction of and venue in such courts. To the maximum extent permitted by law: (a) any such claim must be brought within one (1) year after it arises, or it is permanently barred; (b) all claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding; and (c) YOU AND THE COMPANY EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY.

The Website is controlled, operated, and administered by the Company from our offices within the USA and is intended for use only by individuals located in the USA. The Company makes no representation that the Website is appropriate or available for use outside the USA. If you access the Website from a location outside the USA, you do so at your own risk and are responsible for compliance with all local laws. You agree that you will not use the content accessed through the Website in any country or in any manner prohibited by any applicable laws, restrictions, or regulations.

Indemnification

You agree to indemnify, defend, and hold harmless the Company, its members, managers, officers, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, losses, damages, judgments, awards, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your breach of these Terms of Use, your use or misuse of the Website or any Offering, any Submission or Feedback you provide, or your violation of any applicable law or the rights of any third party.

Termination And Access Restriction

The Company reserves the right, in its sole discretion, to terminate your access to the Website and any related services, or any portion thereof, at any time without notice. The Company may also decline to provide, or may discontinue, any Offering to any person in its sole discretion, in which case the Company will refund any fee paid for a portion of an Offering that has not been delivered. Unless otherwise specified herein, this agreement, along with the Privacy Policy, Cookie Policy, and Disclaimer, constitutes the entire agreement between you and the Company with respect to the Website and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and the Company with respect to the Website. Where you have signed a separate written agreement with the Company for a specific program or engagement, that agreement governs that engagement in the event of a conflict with these Terms of Use. If any part of these Terms of Use is determined to be invalid or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.

Assignment

You may not assign or transfer these Terms of Use, or any of your rights or obligations under them, without the prior written consent of the Company. Waiver

No waiver by the Company of any term or condition of these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

Survival

All provisions of these Terms of Use which by their nature should survive termination shall survive termination, including provisions regarding intellectual property, Submissions and Feedback, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.
